1. ACCEPTANCE OF TERMS
By accessing or using Superfans, operated by XYZonAI.com (“XYZonAI,” “we,” “us,” or “our”), including all related websites, dashboards, APIs, automations, AI workflows, and services (collectively, the “Service”), you agree to be legally bound by these Terms of Use (“Terms”).
If you do not agree, do not access or use the Service.
You represent that:
You are 18 years of age or older
You have authority to bind any entity you represent
2. DEFINITIONS (IMPORTANT FOR US/EU COMPLIANCE)
“Client” – Any individual or entity using Superfans
“Client Data” – Any data, content, credentials, files, communications, analytics, or materials provided by or generated for the Client
“Personal Data” – As defined under GDPR (Article 4) and applicable US privacy laws
“Confidential Information” – All non-public Client Data, whether personal, commercial, or technical
3. OWNERSHIP & INTELLECTUAL PROPERTY
All software, systems, AI workflows, automations, prompts, logic, designs, documentation, branding, and infrastructure used in Superfans are the exclusive intellectual property of XYZonAI.
No ownership rights are transferred to you.
4. EXTREME CLIENT CONFIDENTIALITY (CORE OBLIGATION)
4.1 Absolute Confidentiality Standard
XYZonAI treats Client Confidentiality as a fundamental legal and operational obligation.
All Client Data is classified as STRICTLY CONFIDENTIAL, including but not limited to:
Client identity and brand association
Account credentials and access tokens
Content (draft, scheduled, unpublished, archived, or live)
Performance metrics, analytics, revenue data
Business strategies, workflows, prompts, scripts
Communications and internal documentation
4.2 Non-Disclosure & Restricted Use
XYZonAI shall not:
Sell, rent, license, or monetize Client Data
Disclose Client Data to third parties except as strictly necessary to provide the Service
Use Client Data for marketing, demonstrations, case studies, or AI training without explicit written consent
Identify Clients publicly or privately without authorization
4.3 Internal Controls & Safeguards
XYZonAI implements:
Role-based access control (RBAC)
Data minimization and least-privilege access
Encryption in transit and at rest
Confidentiality-bound employees and contractors
Regular security reviews
Unauthorized internal access constitutes material breach.
5. DATA PROTECTION & PRIVACY (US + EU)
5.1 GDPR Compliance (EU/EEA)
For EU/EEA Clients, XYZonAI acts as a Data Processor, and the Client acts as the Data Controller, as defined under GDPR.
XYZonAI commits to:
Processing Personal Data only on documented Client instructions
Implementing appropriate technical and organizational safeguards (Article 32)
Ensuring confidentiality obligations for all personnel
Assisting Clients with:
Data subject access requests (DSARs)
Rectification, erasure, and portability requests
Deleting or returning Personal Data upon termination unless legally required
5.2 US Privacy Laws (CCPA / CPRA)
For California residents:
XYZonAI does not sell or share personal data
Acts as a Service Provider / Processor
Processes data solely to provide contracted services
Honors rights to access, delete, and limit processing
5.3 Data Transfers
Where data is transferred outside the EU:
Standard Contractual Clauses (SCCs) or equivalent safeguards apply
Data is transferred only to jurisdictions with adequate protection
6. AI & AUTOMATION DISCLOSURE
Superfans uses AI-assisted and automated systems to perform services.
Client Data is not used to train public or third-party AI models
Any AI usage is limited strictly to service delivery
No Client Data is shared with AI vendors beyond what is technically required and contractually protected
7. CLIENT RESPONSIBILITIES
You agree to:
Provide only data you have lawful rights to use
Comply with all applicable laws (copyright, privacy, publicity)
Maintain security of your credentials
Not misuse, probe, or reverse engineer the Service
8. PROHIBITED ACTIVITIES
You may not:
Attempt to extract or replicate workflows, prompts, or logic
Circumvent security measures
Use the Service for unlawful, deceptive, or infringing activities
Introduce malware or harmful code
9. LIMITATION OF LIABILITY (US/EU STANDARD)
To the maximum extent permitted by law:
The Service is provided “AS IS” and “AS AVAILABLE”
XYZonAI disclaims all implied warranties, including merchantability and fitness
XYZonAI shall not be liable for indirect, incidental, or consequential damages
Total aggregate liability shall not exceed the fees paid to XYZonAI in the preceding three (3) months.
Nothing limits liability where prohibited by law (e.g., fraud, willful misconduct).
10. INDEMNIFICATION
You agree to indemnify and hold harmless XYZonAI against claims arising from:
Your content
Your breach of these Terms
Violation of third-party rights or laws
11. TERMINATION
XYZonAI may suspend or terminate access:
For breach
For security, legal, or compliance risk
To protect confidentiality
Upon termination:
Access ceases immediately
Confidentiality and data protection obligations survive termination
12. REMEDIES FOR CONFIDENTIALITY BREACH
You acknowledge that breach of confidentiality causes irreparable harm.
XYZonAI is entitled to:
Injunctive relief
Equitable remedies
Legal damages
Immediate termination without notice
13. GOVERNING LAW & DISPUTE RESOLUTION
US Clients
Governed by the laws of State of Delaware, USA
Exclusive jurisdiction: Delaware courts
EU Clients
Governed by the laws of Ireland
Exclusive jurisdiction: Irish courts
XYZonAI may elect arbitration where legally permitted.
14. SEVERABILITY
If any provision is unenforceable, remaining provisions remain valid.
15. MODIFICATIONS
XYZonAI may update these Terms at any time. Continued use constitutes acceptance.
